Important Notice

This User Agreement is a legal agreement between you (either an individual or an entity) and M/s. Shanti Mahaveer Sons Corporation LLP (hereinafter referred to as "PayEasy" or "Company"). Please read it carefully before completing the login process and using the website and/or applications. By using this site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, you may not access or use the website and/or applications. These terms may be modified from time to time without notice by posting revised terms on our sites.

Whereas

The Company is engaged in the electronic transaction processing business, including online transactions for services such as mobile recharges, DTH, digital wallet top-ups, reservations, bill payments, cash cards, insurance, wallets, cash management services, e-shopping, money remittance, and other related businesses on a real-time basis through its B2B model network across the country. PayEasy owns a flexible and secure software solution for payments, cash collections, validation, and settlements.

The User wishes to offer these services to customers from their locations using the PayEasy application, which runs on desktops, laptops, and mobile phones (Android, Windows, iOS, and Java platforms). The Company has developed its official website and/or application, PayEasy.com, and its subsites, which facilitate these business operations.

The User has approached the Company to provide services through its website, applications, or other customer interface channels, including advertisements and information campaigns. The Company has accepted the User’s offer, subject to the following terms and conditions.

Definitions

  • Authorization: Includes an authorization, consent, clearance, approval, permission, resolution, license, exemption, filing, and registration.
  • Encumbrance: Includes a mortgage, charge, lien, pledge, hypothecation, security interest, or any lien or right of any description.
  • Person: Includes an individual, statutory corporation, body corporate, partnership, joint venture, association of persons, Hindu Undivided Family (HUF), societies, trusts, unincorporated organizations, governments, sovereign states, or their agencies, departments, authorities, or political subdivisions.
  • Content: Refers to text, documents, information, data, articles, images, photographs, graphics, software, applications, video/audio recordings, sounds, designs, features, and other materials available on the site, including Marks and Products and Services.
  • Mark: Refers to trademarks, trade names, service marks, trade dress, logos, custom graphics, or icons.
  • Member: An individual who has registered with the site, choosing a Member ID and password.
  • Products and Services: Services and products offered by PayEasy under the B2B model through the site.
  • Provider: Ultimate suppliers, information providers, and other service providers whose products/services are offered by PayEasy.
  • Confidential Information: Any information disclosed orally, in writing, or in any other form, including equipment design, operation methods, processes, formulae, plans, strategies, data, know-how, designs, photographs, drawings, specifications, and technical literature.

Scope of the Agreement

The Company permits the User to register on its website and/or application, where the User shall choose a password and maintain its confidentiality. The User is responsible for all activities under their account and must notify the Company immediately of any unauthorized use or security breach. The Company is not liable for losses due to unauthorized use of the User’s password or account.

The User agrees not to distribute, exchange, modify, sell, or transmit any content from the Company’s website and/or application for business, commercial, or public purposes. The Company may terminate access to its website, applications, or sales channels at any time without notice for maintenance or other reasons.

Access to certain areas of the website and/or application is restricted to registered members, who must provide true and accurate information. Products and services displayed may not be available in all locations, and the User should verify availability with the Company’s authorized representatives.

User Eligibility

The services are available to individuals who can form legally binding contracts under applicable law, meaning users must be at least 18 years old. The Company may refuse service to anyone at any time without reason. Users must comply with applicable laws while accessing the website and/or application.

Term and Termination

This Agreement takes effect upon user signup and may be terminated by the Company immediately if the User misuses the website and/or application or violates these terms. The User may terminate the Agreement by providing 60 days’ written notice via their registered mobile number or email. Upon termination, all rights and obligations cease.

User Responsibilities

Users must not remove copyright or trademark notices from downloaded content. The Company strives to ensure accurate content but is not responsible for errors, changes, or losses due to third-party services. Users should obtain trading limits or wallet balances through their distributors, not directly from PayEasy.

Users must not act on information until receiving transaction confirmation via email or SMS. The Company takes measures to exclude viruses but cannot guarantee a virus-free website and/or application. Users are responsible for safeguarding their devices.

Ownership

All content on the website and/or application, including audio, images, software, and text, belongs to PayEasy. Unauthorized use, reproduction, or modification may violate applicable laws. Proprietary logos, service marks, and trademarks are not licensed for use by the User.

Fees and Payment

The Company may charge transaction fees and alter them without notice. Users are responsible for all charges, fees, duties, taxes, and assessments. The Company is not obligated to compensate for unconfirmed transactions, and subsequent transactions are treated as new.

Privacy and Security

Users consent to the Company’s Privacy Policy, available on the website and/or applications. The Company and its providers make no warranty regarding the website, content, or services, which are provided “as is.” Users use the website at their own risk.

Limitation of Liability

The Company and its providers are not liable for direct, indirect, special, or consequential damages arising from the use of the website, third-party services, or their performance. The Company’s maximum liability is limited to refunding the amount paid for services, minus applicable charges.

Confidentiality

All information disclosed between the parties is confidential and remains the property of the providing party. Neither party shall use or disclose such information except as necessary under this Agreement. Confidentiality obligations continue for five years after termination.

Force Majeure

The Company is not liable for service disruptions due to circumstances beyond its control, such as acts of God, strikes, or technical failures. In such cases, the Company will refund the booking amount minus applicable charges, if supported by the service provider.

Governing Laws and Arbitration

Disputes arising from this Agreement shall be resolved through mutual negotiations or arbitration under the Arbitration and Conciliation Act, 1996. A sole arbitrator appointed by the Company will conduct proceedings in Chennai, in English. This Agreement is governed by the laws of India.

Jurisdiction

The Company is subject to the jurisdiction of the courts of Chennai, Tamil Nadu, India, and disclaims warranties implied by other jurisdictions.
